Frequently asked questions

What is MOURANO?

MOURANO is a discovery and matching platform for private market secondary transactions. We aggregate supply and demand for shares in late-stage private companies, structure the terms into a comparable format, and facilitate introductions between counterparties. We do not execute trades or custody assets.

What is the secondary market?

In the private secondary market, existing shareholders — employees, early investors, funds, or SPV holders — sell their stakes in a private company before an IPO or acquisition. Buyers gain exposure to companies that are not publicly traded; sellers gain liquidity ahead of an exit event.

What are the risks?

Private secondaries are illiquid, long-dated and can lose their entire value. Pricing is negotiated, not quoted by an exchange, and information about the underlying company is limited compared with public markets. Transfers may require company or GP consent and can fail. Layered SPV structures add fees and counterparty risk. These instruments are only suitable for investors able to bear a total loss.

Is my information confidential?

Yes. Counterparty identity is never revealed on a listing. Deal documents are stored privately and only released to participants whose access level permits it. Dark Pool listings are invisible to anyone outside the approved membership.
